Ames MakerSpace Bylaws
Article 1: Name and Purpose
1.1 Name
The name of the corporation is Ames MakerSpace, Inc. To be referred to hence as “Ames MakerSpace”, “the corporation”, or “the organization”.
1.2 IRC Section 501(c)(3) Purposes
The corporation is organized and shall be operated exclusively for charitable, educational, and scientific purposes, including, for such purposes, the making of distribution to organizations that qualify as exempt organizations under Section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).
1.3 Purpose of the Organization
Promote the Guiding Values.
Article 2: Members
2.1 – Eligibility
2.1.1 – Regular Members
Any individual is welcome to apply to become a Regular Member.
2.1.2 – Board Members
Any Regular Member is welcome to apply to become a Board Member when elections are held.
2.2 – Rights and Responsibilities of Members
Person/persons with voting rights paying a fee for use and access to said group/space.
2.2.2 – Board Members
Person/persons listed and serving as members of the Executive Committee and Directors of the corporation.
2.2.3 – Board Officers
2.2.3.1 – Chairman
The Chairman runs all meetings of the Board Members.
2.2.3.2 – Secretary
The Secretary will take notes of Board Member meetings and make them available to the public.
2.2.3.3 – Treasurer
The Treasurer is responsible for money and the finances of the Organization.
2.3 – Resignation and Expulsion
2.3.1.1 – Resignation
Regular Members may resign at any time, forfeiting the remainder of any fees paid.
2.3.1.2 – Expulsion
Regular Members may be expelled by a vote from all members.
2.3.2.1 – Resignation
Board Members may resign from the Board at any time by presenting a written and signed letter of resignation.
2.3.2.2 – Expulsion
Board Members may be forced to resign from the Board and demoted to Regular Member status by a vote of the members.
2.3.3 – Inactivity
Members who do not pay their dues for 30 days may be expelled from Ames Makerspace at the Board’s discretion.
Article 3: Voting
3.1 – Proposals
3.1.1 – Anyone may submit a proposal.
3.1.2 – All proposals must be posted to the e-mail list at least 48 hours before they are voted upon.
3.1.3 – Unless stated otherwise in the bylaws, all proposals are voted on by the Board.
3.2 – Board Members
3.2.1 – Voting may only occur during a meeting of the Board.
3.2.2 – Two or more stall votes will postpone the final vote to the next meeting of the Board. Votes may not be postponed more than twice.
3.2.3 – All voting must be done in person. A stall vote may be entered by proxy.
3.2.4 – A 2/3 majority vote of all Board members passes the proposal.
3.3 – Regular Members
3.3.1 – Voting by regular members may only occur during a meeting of the Board with 25% of all Regular members present.
3.3.2 – All Regular members voting must be done in person.
3.3.3 – A majority vote passes the proposal.
Article 4: Revisions to These Bylaws
4.1 – Revisions
Proposals to revise these Bylaws must pass a vote of the Regular members.
Article 5: Dissolution of the Organization
5.1 – Dissolution
In the event that a movement to dissolve the organization passes, assets may be liquidized to pay off any debt the organization may have accrued. Any remaining assets of the organization must be donated to an IRS 501(c)(3) compliant charitable, educational, or scientific endeavor.
Article 6: Certification
These bylaws were approved on September 21, 2010 by a vote of the members.
